Terms & Conditions

1. Introduction

These Terms & Conditions ("Terms") govern your access to and use of the Prism Media Intelligence Platform and related products and services (collectively, the "Platform") provided by Mobii Systems Group LTD ("Mobii," "we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.

2. Definitions

"Client" means the organisation or individual that has entered into a commercial agreement with Mobii for access to the Platform.

"Platform" means the Prism suite of products, including Prism Fusion, Prism Moments, Prism Player, Prism Code, Prism Review, Prism Zenith, and Prism Virtua, together with all associated software, infrastructure, APIs, and documentation.

"Content" means video, audio, data, metadata, graphics, and any other materials ingested, processed, or output through the Platform.

"Authorised Users" means individuals permitted by the Client to access and use the Platform under a valid licence agreement.

3. Licence & Access

Subject to these Terms and payment of applicable fees, Mobii grants the Client a limited, non-exclusive, non-transferable licence to access and use the Platform solely for the Client's internal business purposes during the applicable subscription term.

The Client may not: sublicence, resell, or transfer access to the Platform to any third party; reverse engineer, decompile, or attempt to derive source code from any component of the Platform; use the Platform to build a competing product or service; or exceed the scope of use defined in the applicable order or statement of work.

4. Intellectual Property

All rights, title, and interest in and to the Platform — including all software, algorithms, Synthetic Intelligence systems, computer vision models, patents (including Mobii's granted patent for time-synchronised multi-stream data transmission), trademarks, and documentation — remain the exclusive property of Mobii Systems Group LTD.

The Client retains all ownership rights in its own Content. By using the Platform, the Client grants Mobii a limited licence to process and handle Content solely as necessary to deliver the services.

Nothing in these Terms transfers ownership of any intellectual property from either party to the other.

5. Data & Privacy

Mobii processes data in connection with the Platform in accordance with its Privacy Policy, available at the footer of this website.

The Client is responsible for ensuring it has the necessary rights and consents to submit Content to the Platform, including any personal data relating to athletes, personnel, or viewers.

Mobii will implement and maintain appropriate technical and organisational measures to protect data processed through the Platform. Specific data processing obligations may be set out in a Data Processing Agreement executed between the parties.

6. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party in connection with the Platform ("Confidential Information") and to use Confidential Information solely for the purposes of performing obligations or exercising rights under these Terms. Confidential Information does not include information that is publicly available through no fault of the receiving party, independently developed, or required to be disclosed by law.

7. Fees & Payment

Fees for Platform access are set out in the applicable order form or commercial agreement. Unless otherwise agreed, invoices are due within thirty (30) days of issue. Mobii reserves the right to suspend access to the Platform for overdue accounts following written notice.

8. Warranties & Disclaimers

Mobii warrants that the Platform will perform materially in accordance with applicable documentation during the subscription term. Mobii does not warrant that the Platform will be error-free or uninterrupted.

To the maximum extent permitted by applicable law, the Platform is provided "as is" with respect to any representations not expressly made in these Terms. Mobii makes no warranties regarding fitness for a particular purpose beyond those expressly stated.

9. Limitation of Liability

To the maximum extent permitted by applicable law, neither party shall be liable to the other for any indirect, incidental, consequential, special, or punitive damages, including lost profits or loss of data, arising out of or in connection with these Terms, even if advised of the possibility of such damages.

Mobii's total aggregate liability to the Client for any claims arising under or in connection with these Terms shall not exceed the fees paid by the Client to Mobii in the twelve (12) months preceding the event giving rise to the claim.

10. Term & Termination

These Terms remain in effect for the duration of the applicable subscription or licence term. Either party may terminate for material breach if such breach remains uncured for thirty (30) days following written notice. Mobii may suspend or terminate access immediately if the Client violates the licence restrictions in Section 3 or engages in conduct that poses a security risk to the Platform.

Upon termination, all licences granted herein cease and the Client must promptly cease use of the Platform. Sections 4, 5, 6, 9, and 11 survive termination.

11. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless the parties have agreed otherwise in a separate commercial agreement.

12. General

These Terms, together with any applicable order form or statement of work, constitute the entire agreement between the parties with respect to the Platform and supersede all prior agreements and understandings.

Mobii reserves the right to update these Terms from time to time. Material changes will be communicated to Clients with reasonable notice. Continued use of the Platform following notice of changes constitutes acceptance.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
